Acea has today finalised an agreement with Eneracque S.p.A. to acquire the company’s 60% equity interest in Berg SpA. Based in the Frosinone industrial area, Berg SpA, using an established technology, is engaged in the treatment of chemical/physical and biological wastewater. Eneracque will continue to be a minority shareholder and will take part in the company’s operational management.

Berg owns a wastewater treatment plant, completely renovated in 2015, with an annual capacity of 143 thousand tons. The company has also obtained authorisation for the construction of two new facilities, one for the activity of concentration aimed at reducing the aqueous component of wastewater, and the other for the treatment of solid waste, with an annual capacity of 20 thousand tons.

The transaction’s economic value, in terms of enterprise value for 100% of the company, amounts to around 10 million Euro. Following the transaction, Berg will be fully consolidated by Acea, with an expected annual contribution to EBITDA of approximately 1.6 million Euro.

Stefano Donnarumma, Chief Executive Officer of Acea, commented: “This transaction represents a major step forward as regards the Group’s consolidation process in the waste treatment sector, which we intend to implement both via the acquisition of new plants and by carrying out additional development measures. Moreover, the Company operates in the province of Frosinone, which is one of the Group’s reference territories, and we consider it to be a potential vehicle for further industrial investments in the area.
