The Acea S.p.A. (“Acea”) Board of Directors, having met today, following prior examination by the Related Party Transactions Committee, approved the definition and presentation to Roma Capitale, on the part of a.cities S.r.l., a company wholly owned by Acea, of a spontaneous project financing proposal for the concession, pursuant to Article 193 of the Italian Public Contracts Code, of works pertaining to the management, modernisation and digitalisation of the city of Rome’s public lighting network and service and the implementation of smart city innovative services.
By law, the presentation of a spontaneous proposal to Roma Capitale, a related party of Acea as controlling entity, is the introductory act to a structured procedure, also involving a possible preliminary phase of discussion with the Administration, with a view to evaluating the proposal’s feasibility. In the case of a positive outcome as regards the latter’s independent evaluations, legislation provides for a subsequent bidding process to be held which, in the event of future participation by a.cities S.r.l., is also relevant for the application of rules concerning related party transactions of greater significance and the associated disclosure obligations.
